Terms of Service

Account terms, acceptable use, service limitations, and dispute provisions

1. Agreement to These Terms

These Terms of Service ("Terms") govern access to and use of the TideOps mobile application, websites, and related services (collectively, the "Service") provided by CONTUPX CONTABILIDADE LTDA (CNPJ 57.708.131/0001-45), located at Av. das Américas, 4200, Bloco 1, Sala 305, Barra da Tijuca, Rio de Janeiro/RJ, 22640-907, Brazil ("Tide Ops," "we," "us," or "our"). By creating an account, clicking "I Agree," or using the Service, you agree to these Terms and acknowledge the Privacy Policy, Disclaimer and Limitation of Liability, and Community and Content Policy.

If you do not agree, do not create an account or use the Service.

2. Eligibility and Account Registration

  • You must be at least 18 years old, or the age of legal majority where you live, to create an account.

  • You must provide accurate, current, and complete information and keep it updated.

  • You are responsible for safeguarding your login credentials and all activity under your account.

  • You must notify us promptly of suspected unauthorized access or security incidents involving your account.

3. Purpose of the Service

Tide Ops is an organizational and informational tool that may allow users to manage schedules, rotations, travel, work records, documents, certificates, alerts, currency conversions, timesheets, expenses, invoices, professional profiles, employment information, industry news, and related records. The Service does not replace employer instructions, official documents, professional advice, or independent verification.

4. User Responsibilities

  • Verify all dates, schedules, locations, rates, calculations, document details, deadlines, and reports before relying on or submitting them.

  • Maintain independent records and backup copies of critical documents and information.

  • Follow employer, client, vessel, project, governmental, tax, immigration, safety, and regulatory requirements.

  • Use the Service only for lawful purposes and only with information you are authorized to upload, store, or share.

5. Calendar, Schedule, Rotation, and Alerts

Calendar entries, rotations, boarding dates, travel dates, reminders, notifications, and expiration alerts are user-support features only. Delivery may be delayed, blocked, duplicated, inaccurate, or unavailable because of device settings, connectivity, operating-system restrictions, user input, third-party services, or technical failures. Users must not rely exclusively on Tide Ops for any safety-critical, employment-critical, travel-critical, medical, immigration, tax, or compliance deadline.

6. Documents, Certificates, and User Records

Tide Ops may use image capture, optical character recognition, or other automated tools to extract data from uploaded files. Automated extraction may be incomplete or incorrect. The user must review and confirm all extracted information. Tide Ops does not authenticate documents, certify qualifications, verify validity, or guarantee that a document will be accepted by any employer, authority, training provider, or other recipient.

7. Timesheets, Expenses, Invoices, and Calculations

Reports and calculations are generated from user-entered data, configured rates, exchange-rate sources, and system logic. They may contain errors and are not accounting, payroll, tax, or legal records unless independently reviewed and accepted by the relevant recipient. Users are responsible for confirming amounts, currencies, taxes, reimbursability, contractual terms, and submission requirements.

8. Jobs and Employment Information

Employment opportunities are informational only and may be collected from employers, recruiters, public sources, or third-party sites. Tide Ops is not an employer, recruiter, staffing agency, or party to any employment relationship unless expressly stated. We do not guarantee that a listing is accurate, current, legitimate, complete, or still available, and we do not guarantee interviews, employment, compensation, visa sponsorship, or any other outcome. Users must verify each opportunity directly with the original source and remain alert to fraud.

9. News and Third-Party Content

News, links, summaries, headlines, and industry information may reference or link to third-party publishers. Such content is provided for convenience and informational purposes. The original publisher remains responsible for its content and intellectual property. Tide Ops does not endorse and is not responsible for third-party accuracy, availability, views, practices, or changes.

10. Location and Presence Records

Location, GPS, country, region, territorial-water, offshore, tax-presence, and travel classifications are recordkeeping aids only. GPS readings and geographic classifications may be inaccurate or incomplete. Tide Ops does not determine tax residence, legal presence, maritime jurisdiction, immigration status, or eligibility for any deduction or benefit. Users should consult qualified professionals and official authorities.

11. Third-Party Services

  • The Service may depend on app stores, cloud hosting, mapping, notification, analytics, exchange-rate, news, recruitment, or other third-party services.

  • Third-party terms and privacy practices may apply separately.

  • We are not responsible for third-party outages, content, security, products, or services.

12. Acceptable Use

  • Do not upload unlawful, fraudulent, forged, infringing, defamatory, malicious, or unauthorized content.

  • Do not impersonate another person or misrepresent qualifications, identity, experience, documents, or employment status.

  • Do not attempt to disrupt, reverse engineer, scrape, probe, bypass security, or gain unauthorized access to the Service.

  • Do not use the Service to spam, harass, discriminate, exploit, or unlawfully market to others.

13. Intellectual Property and License

Tide Ops and its licensors own the Service, branding, software, design, and related intellectual property. Subject to these Terms, Tide Ops grants you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose. You retain ownership of content you upload, but grant Tide Ops a limited license to host, process, reproduce, format, transmit, and display it as necessary to operate and improve the Service, subject to the Privacy Policy.

14. Suspension and Termination

We may suspend or terminate access where reasonably necessary to protect users, comply with law, investigate misuse, address security risks, or enforce these Terms. You may stop using the Service and request account deletion, subject to legal retention obligations and the Privacy Policy.

15. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. TIDE OPS DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AVAILABILITY, SECURITY, AND ERROR-FREE OPERATION. NOTHING IN THESE TERMS EXCLUDES WARRANTIES OR RIGHTS THAT CANNOT LAWFULLY BE EXCLUDED.

16. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TIDE OPS AND ITS AFFILIATES, OFFICERS, EMPLOYEES, CONTRACTORS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES; LOSS OF DATA, INCOME, EMPLOYMENT, OPPORTUNITY, PROFITS, REPUTATION, OR BUSINESS; OR COSTS ARISING FROM MISSED ALERTS, INCORRECT SCHEDULES, EXPIRED DOCUMENTS, MISSED TRAVEL, INACCURATE REPORTS, THIRD-PARTY CONTENT, OR USER-ENTERED INFORMATION.

TO THE EXTENT A MONETARY CAP IS PERMITTED, TIDE OPS' TOTAL AGGREGATE LIABILITY ARISING FROM THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TIDE OPS DURING THE 12 MONTHS BEFORE THE CLAIM OR (B) US$100. THIS LIMIT DOES NOT APPLY WHERE PROHIBITED BY LAW, INCLUDING LIABILITY THAT CANNOT BE LIMITED FOR FRAUD, WILLFUL MISCONDUCT, OR PERSONAL INJURY CAUSED BY NEGLIGENCE.

17. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless Tide Ops from claims, losses, and expenses arising from your unlawful use of the Service, your content, your violation of these Terms, or your infringement of another person's rights.

18. Governing Law and Disputes

Unless mandatory consumer law requires otherwise, these Terms are governed by the laws of Brazil. Courts located in the city of Rio de Janeiro, State of Rio de Janeiro, Brazil will have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.

19. Changes to the Service or Terms

We may update the Service and these Terms. For material changes, we will provide notice and, where appropriate, require renewed acceptance. Continued use after the effective date of non-material updates constitutes acceptance where permitted by law.
